7. On pain of lapse of right, all and any complaints or protests must be lodged by registered letter within eight days from the date of receipt of the goods. Should the Buyer/Customer fail to take delivery of the goods, such 8-day term shall start running from the receipt of the dispatch note or any similar document, in default thereof from the receipt of the invoice.

8. The Purchaser of the vending and dispensing machines states expressly that these machines are sold empty and that it is solely liable for the goods/content placed in these machines. The Purchaser bears - to the exclusion of liability on our part - all liability for any possible breaches of the law, customer complaints or legal disputes concerning the goods / content placed in the machines

9. Without prejudice to our rights, we shall be entitled, if we are unable to fulfil the agreement because of strikes, lockouts, unforeseen and unavoidable circumstances such as business disruptions or events of force majeure, at our choice after having given written notice to the Buyer/Customer to suspend the fulfilment of the agreement at our choice without any intervention of the court, or to dissolve the agreement in whole or in part, without any damages being due by us;

10. Where we are legally or contractually obliged to pay damages or reimburse expenses, we will only be liable to the extent of any intentional wrongdoing, gross negligence or injury to life, body or health by us, our executive employees or agents. This will not affect our strict liability pursuant to the German Product Liability Act (Produkthaftungsgesetz). Nor will this affect our liability for an intentional or negligent breach of a substantial contractual obligation (thus a duty whose fulfilment is of the very essence for the proper implementation of the contract and upon whose fulfilment the Byer/Customer may regularly rely). However, our liability for damages for breach of a substantial contractual obligation will be limited to the usual foreseeable damage except in the cases specified in sentences 1 and 2 of this passage. The aforementioned provision shall not reverse the balance of proof in a way disadvantageous to the Buyer/Customer. To the extent to which our liability is excluded or limited, this also applies in respect of the personal liability for damages of our employees, workers, staff, representatives and agents.

11. All models, drafts, graphical designs, schemes, software, etc., designed by us, whatever the technique used may be, shall be our exclusive property, and it is forbidden to copy or reproduce the same without our prior written consent;

12. SandenVendo shall only collect, use, maintain and disclose any Personal Data in accordance with the applicable data protection legislation.

13. All agreements entered into with us, as well as these General Terms and Conditions of Sale, shall be governed by German law, unless otherwise agreed in writing; Any dispute that may arise from or in connection with this quotation/delivery/invoice/agreement shall be settled exclusively by the courts of Dusseldorf/Germany.
